WHEREAS, the Provider is engaged in the business of providing internet service and related services; and

WHEREAS, the Reseller desires to market and sell the Provider’s internet services, subject to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

The Provider appoints the Reseller as a non-exclusive reseller of the Provider’s services in the designated territory, defined as the address registered by the Reseller.

The Reseller agrees to:

• Advertise, market, and sell the Provider’s internet services in the Territory.

• Comply with all applicable laws and regulations while conducting business.

• Represent the Provider’s services accurately and honestly.

• Maintain a professional image that reflects positively on the Provider.

• Not resell the Provider’s services under its own name or brand.

• Not install any router or similar device to resell the Provider’s packages into smaller packages or parts.

The Provider agrees to:

• Provide the Reseller with the necessary support, training, and resources to market and sell the Provider’s services.

• Maintain the quality of the services provided.

• Provide timely information regarding new products, offers, or changes to existing services.

The Reseller will receive an additional bonus for each new customer referred to the Provider, according to the prevailing terms and conditions.
Bonuses will be paid monthly, in balance, for those customers who remain active and current with their payments.

This Agreement shall commence on the effective date and may be terminated by either party with 30 days’ written notice.
This Agreement may be terminated if either party breaches any material provision of this Agreement and fails to correct such breach within 15 days.

All trademarks, service marks, and other intellectual property associated with the Provider’s services are and shall remain the property of the Provider. The Reseller is granted a limited, non-exclusive, revocable license to use the Provider’s trademarks for the marketing of the Provider’s services under this Agreement.

Both parties agree to keep confidential any proprietary or confidential information disclosed during the term of this Agreement. This obligation shall survive the termination of this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.

This Agreement constitutes the entire agreement and understanding between the parties relating to the subject matter and supersedes all prior agreements, understandings, and negotiations.
